Agreement to Terms

Welcome to UniPath Global! These Terms of Service ("Terms") govern your access to and use of the UniPath Global platform, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: These Terms contain provisions that limit our liability and require you to resolve disputes through individual arbitration rather than jury trials or class actions. Please read these Terms carefully.

Eligibility

You must be at least 16 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your password and account credentials
Notify us immediately of any unauthorized access or security breach
Accept responsibility for all activities that occur under your account
Not share your account credentials with others

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Transmit harmful, fraudulent, or misleading content
Harass, abuse, or harm other users
Submit false, inaccurate, or misleading reviews or ratings
Impersonate any person or entity
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Use automated systems (bots, scrapers) without permission
Reverse engineer, decompile, or disassemble any part of the Service
Collect or harvest user information without consent
Use the Service for commercial purposes without authorization

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

Subscription Plans and Payment

Subscription Tiers

UniPath Global offers two subscription tiers:

Free Plan: Limited to 5 university searches per month, with access to basic features
Premium Plan ($5.99/month): Unlimited searches, AI assistant access, priority support, and advanced features

Payment Terms

Premium subscriptions are billed monthly through Stripe
Payments are processed securely; we do not store your payment information
Subscriptions automatically renew unless canceled
You authorize us to charge your payment method for recurring subscription fees
Prices are subject to change with 30 days' notice

Cancellation and Refunds

You may cancel your Premium subscription at any time through your account settings or the Stripe customer portal
Cancellations take effect at the end of the current billing period
You will retain access to Premium features until the end of your paid period
No refunds: We do not provide refunds for partial months or unused subscription periods
If your payment fails, we may suspend or downgrade your account after multiple attempts

User-Generated Content

You may submit content to the Service, including reviews, ratings, and application notes ("User Content"). By submitting User Content, you:

Grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content
Represent that you own or have the rights to the User Content
Acknowledge that User Content may be visible to other users
Agree not to submit copyrighted, defamatory, or illegal content
Acknowledge that we may remove User Content that violates these Terms

We do not endorse or guarantee the accuracy of User Content. You use User Content at your own risk.

Intellectual Property Rights

The Service, including all content, features, functionality, software, logos, and trademarks, is owned by UniPath Global and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or exploit any part of the Service without our express written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

AI Assistant Services

Our AI assistant provides guidance and recommendations based on your inputs and publicly available information. You acknowledge and agree that:

AI-generated responses are for informational purposes only and should not be considered professional advice
You should verify all critical information independently
We are not responsible for decisions you make based on AI assistant responses
The AI assistant may occasionally provide inaccurate or incomplete information
AI conversations may be used to improve our services (in anonymized form)

Third-Party Websites and Services

Our Service may contain links to third-party websites, including university websites and scholarship portals. These links are provided for your convenience only. We do not control, endorse, or assume responsibility for any third-party sites or services. Your use of third-party sites is at your own risk and subject to their terms and privacy policies.

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

The Service will be uninterrupted, secure, or error-free
University information, rankings, or deadlines are accurate or current
AI assistant responses are accurate, complete, or reliable
Using the Service will result in university admission
User-generated reviews reflect actual experiences

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIPATH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless UniPath Global and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use the Service immediately ceases. You may terminate your account at any time by contacting us or deleting your account through the Service.

Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute resolution) will remain in effect.

Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except for disputes that may be brought in small claims court. You and UniPath Global agree to waive the right to a jury trial or to participate in a class action.

Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA) or JAMS (Judicial Arbitration and Mediation Services). The arbitration will be held in New Castle County, Delaware, or remotely via video conference. The arbitrator's decision is final and binding, and judgment may be entered in any court of competent jurisdiction.

Each party shall bear its own costs and fees unless otherwise determined by the arbitrator. For claims under $10,000, you may choose whether the arbitration will be conducted solely based on documents, through a telephonic hearing, or by an in-person hearing.

Class Action Waiver

YOU AND UNIPATH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms (excluding arbitration) will be brought exclusively in the state or federal courts located in New York County, New York, and you hereby consent to the personal jurisdiction and venue of such courts.

For international users, you agree that any disputes will be resolved under New York law, and you consent to the jurisdiction of New York courts. If you are accessing UniPath Global from outside the United States, you acknowledge that your information will be transferred to and processed in the United States, where data protection laws may differ from those in your country.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service.

Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and UniPath Global regarding the Service and supersede all prior agreements and understandings
Severability: If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law
Waiver: Failure to enforce any right does not constitute a waiver of that right. Any waiver must be in writing and signed by UniPath Global
Assignment: You may not assign, transfer, or delegate these Terms or your rights hereunder without our prior written consent; we may assign them freely to any affiliate or in connection with a merger or acquisition
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials
